Lexus Ideas Engine Terms of Use
Lexus Ideas Engine is a special event ending at midnight Japan Standard Time on Saturday 30 June 2012.
Definitions.
Guiding Principles.
The Site is dedicated to providing a discussion forum for exchanging ideas about the Lexus brand among Users. The purpose of the event is to encourage the sharing and discussion of individual ideas.
All Submissions will be personally reviewed by Lexus prior to being posted on the Site. Lexus has the right to refuse to post any Submission and the right to delete or modify any Submission already posted on the Site without notice to Users at its complete discretion. Lexus may create on its own or obtain many ideas, comments, visual images, videos or other information that may be similar or identical to the Submissions.
Like any community, Lexus Ideas Engine is most valuable when all Users strictly comply with these Terms of Use. These Terms of Use detail what is expected of Users and what Users can expect from other participants when using the Site.
Lexus reserves the right to modify these Terms of Use at any time at its discretion.
Making Submissions.
Users are not obliged to register any information in order to access the Site and read the message boards within the Site. It is open to anyone. However, Users must first login using their Facebook, Twitter or Google Plus account to access the Site and agree to these Terms of Use to make any Submissions or vote for any Submissions already posted. Once Users' login status is verified, Users will automatically be directed to the Site's home page, where Users are able to make the Submissions and vote for the Submissions.
Site Management.
The Site is not intended as a way for Users to get answers from Lexus on any issue; it is intended as a means to promote new ideas and exchange ideas. Unless a statement is made by the site manager or any other person authorized to speak on behalf of Lexus, positions, views and opinions contained in any of the Submissions, regardless of whether Users are Lexus employees, do not represent or constitute an official position, view or opinion of Lexus.

The Site allows Users to include in the Submissions hypertext links to content hosted and maintained by third parties. Such links are treated like any other content of the Submissions. Users, therefore, must ensure that the content directed through such links also complies strictly with these Terms of Use.
The linked sites and content are not moderated by Lexus and are not under Lexus's control, responsibility or endorsement, and Users must access any linked site and content at their own risk and responsibility. If Users discovers any linked site that contains any material to be in violation of these Terms of Use, they may report such link.
Ownership.
Users grant to Lexus a perpetual, irrevocable, worldwide, freely-transferable, sub-licensable, non-exclusive, fully-paid up and royalty free license to use, reproduce, prepare derivative works, combine with other works, rerecord, alter, modify, rewrite, revise, translate, apply, distribute, display and perform any part or all of the Submissions without restrictions of any kind in any and all media, now exists or will exist in the future, without notice, attribution or compensation to Users or any third party.
If any derivative works are created by Lexus using the Submissions pursuant to the license granted to Lexus by Users under these Terms of Use, Users agree that all such derivative works are solely owned by Lexus and shall not be subject to Users' approval or any compensation to Users.
Relationship.
Users acknowledge and agree that the relationship between Users and Lexus is not a confidential, fiduciary, or other special relationship, and therefore, Lexus is not obligated to treat any of the Submissions as confidential.
Waiver.
Users hereby irrevocably waive any and all claims, actions, causes of actions, damages, liabilities and demands that Users have had, now have, and/or may have in the future, with respect to the Submissions.
Exclusion of Warranties.
Any and all information, including the Submissions on this Site, is provided "AS IS" without any conditions, warranties or other terms. Lexus does not control, and is not responsible for its content. To the maximum extent permitted by applicable laws, Lexus excludes all representations, warranties or guarantees, including but not limited to accuracy, reliability, integrity, usefulness, non-infringement, or quality of any content on the Site. Users expressly understand and agree that Users bear all risks associated with using or relying on the content of the Site.
Governing Law and Jurisdiction.
These Terms of Use are governed by and construed in accordance with the laws of Japan. Any dispute, claim, or controversy that may arise between any User and Lexus with regard to these Terms of Use must be finally settled by arbitration in Tokyo, Japan in accordance with the rules of the Japan Commercial Arbitration Association. Any award resulting from the arbitration shall be final and binding upon Lexus and such User.
Definitions.
- "Lexus" means Toyota Motor Corporation, which is the owner of the Lexus brand, and its subsidiaries, as well as directors, officers, agents, employees, engineers, designers and designees of Toyota Motor Corporation and its subsidiaries.
- "Site" means the Lexus Ideas Engine website.
- "Users" means users of the Site.
- "Submissions" means any and all ideas, comments, visual images, audio materials, videos or other information that Users submits through the Site.

- Users have obtained permissions from respective right-holders, if any part of the Submissions is not the Users' original material;
- Users will not pretend to be any other person or make any Submissions on behalf of any other person or entity;
- Users will not make any Submission in exchange for any type of compensation from any third party;
- Users will not collect information about other Users; and
- Users will treat other Users with utmost respect.
Content.
Users are prohibited from making any Submission that:
- Infringes on patent rights, copyrights, trademarks, and other intellectual property rights or other rights of Lexus or any other person or entity;
- Is intended to interfere with the operation of the Site or Lexus;
- Violates any applicable laws;
- Breaches any duty of confidentiality that Users owe to anyone;
- Discloses any confidential information or personal information regarding Lexus or any other person or entity without authorization;
- Is, in Lexus's sole judgment, unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, pornographic, hateful or racially, ethnically or otherwise objectionable;
- Contains or installs any viruses, worms, bugs, Trojan horses or other codes, files or programs designed to, or capable of, disrupting, damaging or limiting the operation of the Site or functionality of any software or hardware of Lexus or Users;
- Makes false, misrepresentative, fraudulent or deceptive statement, or unsubstantiated or comparative allegation; or
- Contains third party advertising, spam, chain letters, or any other solicitation, including solicitation of lawsuits.
